Innocoll’s Latest Raise Brings Financing to $43M - cbl

ASHBURN, Va. -- Innocoll Holdings, Inc. completed a $5 million mixed securities offering, according to an SEC filing.

The funding adds to a total of $8 million raised in July 2009 and March 2010, and a $30 million Series A round from December of 2007, led by Camulos Capital, with Newsmith Capital Partners in London and Morgan Stanley participating.

With origins dating back to 1927 and locations in the US, Ireland, Germany and South Africa, Innocoll is an international biopharmaceutical company focused on biodegradable surgical implants and topically applied healthcare products.

Named in the filing were Michael Myers, president and chief executive officer; Steven Shallcross, chief financial officer; and directors Rolf Schmidt, Raleigh, N.C.-based Closure Medical Corporation; Paul Oxholm, Mohnton, Pa.-based Unique Technologies; Anthony Wild, Switzerland-based BOWS Pharmaceuticals AG; Gordon Dunn, Newsmith Capital's Private Equity Funds (London, Singapore, Tokyo); Ireland-based John O'Meara ProCare Pharmacy; William O'Donnell, Somerset, N.J.-based inVentiv Communications.

Bios

Michael Myers

Michael has over 20 years active experience in the pharmaceutical industry in the US and Europe with a proven track record of development and commercialization of a number of significant drug delivery products across a wide variety of delivery routes. He has served as President of the Drug Delivery division of West Pharmaceutical Services and formerly as President of Pharmaceutical Operations for Fuisz Technologies (Biovail) where he oversaw the development and commercialization of the Company's FlashDose® technology platform. Michael has also held executive positions in Flamel Technologies and Elan Corporation. Michael holds a Ph.D. in Organic Chemistry from the University of Cork.

Rolf Schmidt

Mr. Schmidt was co-founder of the medical bio-adhesives product company, Closure Medical Corporation together with his brother William Schmidt. He led the company as Chairman from its early development through IPO in 1996 and up until its acquisition by Johnson & Johnson in 2005. Mr. Schmidt's training and business experience is concentrated mainly in engineering and management roles. He was co-founder of Sharpoint, Inc. a leading developer and manufacturer of ophthalmic surgical needles and sutures prior to its acquisition by Alcon Labs, Inc. in 1986. Mr. Schmidt actively consults with and invests in early-stage healthcare technology companies.

Paul Oxholm

Mr. Oxholm is President and CEO of Unique Technologies, a privately held specialty medical device manufacturer, and has over twenty years of experience in finance, business development, and executive management positions within the healthcare and financial services industries. Mr. Oxholm has served as President of Sharpoint Partners, a management consulting practice, CEO of Carewide, Inc. a web-based practice management software company and as Sr. Vice President with Wachovia Bank.

Anthony Wild

Dr. Wild has over 30 years experience working in the pharmaceutical industry. He has held senior positions in Warner Lambert's Parke-Davis division, Schering Plough and MedPointe Pharmaceuticals. Dr. Wild is a co-founder and General Partner of BOWS Pharmaceuticals AG, a Swiss drug-delivery technology company. He is a member of the Boards of Directors of several privately-owned specialty pharmaceutical and biotechnology companies. He also chairs the board of advisors of Ferrer, Freeman and Co., a healthcare private equity firm. He is on the board of advisors of Celtic Therapeutics, a pharmaceutical venture fund and is an advisor to Golden Pond Healtcare Inc., a special acquisitions corporation. Dr. Wild graduated in 1968 from the University of York where he earned an honors degree in Chemistry. He also holds a Ph.D. degree in physical chemistry from the University of Cambridge (Churchill College).

Gordon Dunn

Gordon Dunn has managed NewSmith Capital's Private Equity funds since their inception in 2004. Prior to joining NewSmith Gordon had over 12 years' experience in the banking and securities industry and as a securities lawyer, including nine years with Merrill Lynch in London. Prior to joining NewSmith, Gordon was Co-Head of the Merrill Lynch European Private Equity Group from 2000 to 2002. Gordon began his career as an associate at the law firm Morrison & Foerster. He received a Bachelor of Arts, with distinction, from Stanford University and a JD from New York University School of Law.

John O'Meara

John is a graduate of Trinity College Dublin School of Pharmacy and holds a postgraduate diploma in business and information technology. He is a full member of the Pharmaceutical Society of Ireland. Coming from a pharmacy family background, John has worked in pharmacy from a young age and has a wealth of practical healthcare knowledge.

William O'Donnell

As President and COO of inVentiv Communications, William O'Donnell is responsible for strategic direction and oversight of inVentiv Communications and the 13 fully integrated companies within the division. He also oversees client relationships, new business activities and the division's operational backbone that includes the accounting/finance, human resources, marketing communications and technology departments. Prior to joining inVentiv Communications (then known as inChord) in 2001, Mr. O'Donnell was CFO for Bank One's Retail Customer and Channel Group (now JPMorgan Chase). In this role, he led a team of finance and accounting professionals to provide decision support, financial reporting and analysis, financial control and strategic and capital planning for a business unit management team. During Mr. O'Donnell's 17 years with Bank One, he held a number of other positions, including CFO of the Business Banking Group, where he was responsible for the financial management of the small business unit. He was also Corporate Finance Liaison, where he acted as the liaison between the Retail line of business CFO and CEO and the Banc One Corporation CFO and COO. Mr. O'Donnell holds a B.S. in Finance and Accounting from Miami University and an M.B.A. from the University of Dayton. He also completed the Executive Development Program at Darden School of Business, University of Virginia.

Steven Shallcross

Steve has over 20 years of financial and operational experience in the pharmaceutical industry. He has held senior executive roles with a number of emerging biopharmaceutical companies, and most recently served as the Chief Financial Officer and Treasurer of Vanda Pharmaceuticals. Prior to his years at Vanda, he was CFO and Treasurer of Advancis Pharmaceuticals (now MiddleBrook Pharmaceuticals). Steve is the Chairman of the Financial Executive Forum for the Technology Council of Maryland, a board member of the Washington D.C. chapter of Financial Executives International, and is a steering committee member for the Baltimore - Washington Area Association of Bioscience Financial Officers. Steve is a certified public accountant and earned his bachelor's degree in accounting from the University of Illinois and he holds a MBA from University of Chicago Gradulate School of Business.
