Advanced BioNutrition Nearly Completes $1.2M Offering - CBL

COLUMBIA - According to a Reg D filing with the U.S. Securities and Exchange Commission, Advanced BioNutrition Corp. has raised $910,275 out of a total offering of $1.2 million in debt and warrant offering.

Founded in 2001 and based in Columbia, Md., Advanced BioNutrition Corp. develops functional ingredients to improve animal health and functional nutrition in the aquaculture area.

About ten investors participated in the offering, with a minimum investment of $2,500 each.

Principals named in the filing are William Kirk, CEO and chairman; and directors Jim Carruthers, Jr., Charles Arntzen, Josef Wuensch, Walter Locher, John Giannuzzi, and Ignacio Aranguren-Trellez.

John Giannuzzi is the managing general partner at Massachusetts based venture capital firm, Sherbrooke Capital.

Ignacio Aranguren-Trellez is the CEO of San Antonio based Arancia Industrial SA de CV.

William Kirk - CEO and Chairman

William F. Kirk has 37 years of experience in the Agricultural Division of the DuPont Co., where as Group Vice President he led their $4.5 billion Agriculture Business and served as a member of the CEO's Strategy/Operating Committee.

Jim Carruthers, Jr.

Jim was a founding partner at Eastbourne Capital Management. Jim joined the initial Eastbourne partners from their prior firm, Robertson-Stephens Investment Management (RSIM), in 1996, where he was a Principal. At Eastbourne, Jim's primary focus was the investigative due diligence surrounding many of firm's short sale positions, both in the routine and fraud-related varieties. Jim has also been involved with many of Eastbourne's investments in the biotech and pharmaceutical arena on the long side of the portfolio, and currently serves on the board of Advanced BioNutrition. For the five years prior to joining RSIM, and subsequently, Eastbourne, Jim was an independent securities analyst. From 1988 to 1990, Jim was an analyst and portfolio advisor with the Feshbach Brothers in Dallas. Prior to joining the investment business, Jim held senior management roles with information systems firms including Martin Marietta Data Systems division and American Management Systems. Jim received his BS in Business Administration from the University of Maryland and his MBA from The George Washington University.

Charles Arntzen

Dr. Arntzen is internationally recognized for his work on the development of transgenic plants to yield oral vaccines to meet the needs of developing nations where infectious diseases are a major cause of infant mortality. Professor Arntzen holds the Florence Nelson Presidential Endowed Chair at Arizona State University in Tempe, and was the Founding Director of the Arizona Biodesign Institute. He has served as Chairman of the NIH Biotechnology Policy Board and as Chair of the Biobased Industrial Products Committee for NAS. He is a member of the National Academy of Sciences and serves on President Bush's Council of Advisors on Science & Technology. He also serves as President/CEO Emeritus of the Boyce Thompson Institute for Plant Research, Inc., a not-for-profit corporation affiliated with Cornell University. Dr. Arntzen was elected to the U.S. National Academy of Sciences in 1983, and to the National Academy of India in 1984 in recognition of his collaborative international research in that country. In 1984 he joined the DuPont Company in Wilmington, Delaware, and later became the company's Director of Biotechnology in the Agricultural Products Department. In 1988 he was appointed Dean and Deputy Chancellor for Agriculture of Texas A&M University, and subsequently served as Director of the university's Plant Biotechnology Program of the Institute of Biosciences and Technology. Dr. Arntzen has played a major role in many national and international scientific activities, including service for eight years on the editorial board of SCIENCE. Dr. Arntzen served until 1998 on the Board of Directors of DeKalb Genetics, Inc. and is on the Board of Directors of Third Wave Agbio, Inc.; on the Advisory Board of the Burrill and Company's Agbio Capital Fund and The Nutraceuticals Fund; and on scientific advisory boards for Sumitomo Chemical Company, Ltd., Phytera, Inc., and Valigen, Inc. He also serves as a Distinguished Advisor on the Council for Biotechnology.

Josef Wuensch

Dr. Josef R. Wuensch joined BASF Venture Capital GmbH as CTO in July 2006. Before that from 2004 to 2006 he was Senior Manager Strategic Planning with BASF AG, responsible for Global Innovation Management. Dr. Wuensch started his career in 1992, holding different positions within BASF Group since that time. Dr. Wuensch studied chemistry at the University of Goettingen, obtaining his Ph.D. there in 1992.

Walter Locher

Walter Locher is a Senior Advisor of the venture capital fund managed by Emerald Technology Ventures. He has held various senior management positions with the Swiss-based Volkart Group, with assignments in Europe, Latin America, Asia and the USA. Walter is on the boards of several companies in North America and Australia.

John Giannuzzi - Managing General Partner, Sherbrooke Capital

Mr. John K. Giannuzzi is the Managing General Partner at Sherbrooke Capital. He also works at Quest Capital, Inc. Mr. Giannuzzi leads the firm's overall investment strategy. Prior to co-founding Sherbrooke Capital, he was the Managing Director and Group Head at BankBoston and a Member of the Board of Directors and the Investment Committee of BancBoston Capital. Prior to joining BankBoston, Mr. Giannuzzi was a Senior Manager in Corporate Development and Strategic Planning ... at MCI Communications Corp. and a Management Consultant at Booz, Allen and Hamilton, Inc. He currently sits on the Board of Outside The Classroom, Advanced BioNutrition, VetCentric, Polymerix, TransMedics, Affinnova, FoodShouldtasteGood, Adina, Ciao Bella, and Boathouse Sports. He served as a Director of Izze Beverage. Mr. Giannuzzi holds a Master's degree from American University and a Bachelor's degree from West Virginia University.

Ignacio Aranguren-Trellez

Ignacio Aranguren T. is Executive Director of Arancia Industrial SA de CV, a company in Guadalajara, Mexico with operations in enzymes, textile rental services, and transportation. He has worked in finance, strategy, corn supply, and plant management for oils and surfactants. An Electrical Engineer from the University of Notre Dame, Mr. Aranguren worked for Hewlett-Packard and obtained an M.B.A. from Stanford before joining Arancia.
