TASC-Affiliated Birch Parent Corp. Raises $4.3M - CBL

CHANTILLY, Va. -- According to a Reg D filing with the U.S. Securities and Exchange Commission, start-up Birch Parent Corp. has raised $4.29 million from 12 investors through an open-ended equity offering.

Principals named in the filing include President and CEO T. Wood Parker; Bradley Kopp, CFO, treasurer and assistant secretary; Joseph Dodd, head of business development, secretary and assistant treasurer; and Vice Presidents Albert Pisani, Kerry Rines, Pamela Drew and Patrick Talty. All of them are part of TASC Inc., which shares the same Chantilly, Va., address as Birch.

TASC offers systems engineering and analytic expertise to help solve security challenges and threats. The company is a partner with global growth investor General Atlantic, based in Greenwich, Conn., and with Kohlberg Kravis Roberts & Co., a global alternative asset manager. KKR is based in New York and has office locations including Washington, D.C., and Houston.

Directors named in the Birch filing are David Langstaff, Steven Denning and Philip Trahanas, all of General Atlantic, and Adam Clammer, James Greene and David Kerko, the latter three of KKR.

T. Wood Parker - President and CEO of TASC

Wood Parker leads a team of nearly 5,000 employees responsible for providing mission-focused advanced systems engineering and advisory services across the Intelligence Community, Department of Defense and civilian agencies of the federal government. TASC's broad portfolio of services includes cyber security; advanced concept and technology development; enterprise engineering and integration; program, financial and acquisition management; system/policy studies and analysis; test and evaluation; and program protection engineering. Bradley Kopp - CFO of TASC

Brad Kopp oversees all aspects of business management for TASC. This includes finance and accounting operations, planning and budgeting, contracts and pricing, program business management, and procurement and subcontract administration. Prior to joining TASC, Mr. Kopp served as a director of Business Management for Northrop Grumman's Civilian Agencies group and the Defense group. There, he led many group-level initiatives, including cash flow improvement activities and the IT sector's contract set-up process improvement team.

Joseph Dodd - Vice President, National Systems

Joe Dodd leads TASC's business development, capture, proposal, strategy and marketing efforts. He is responsible for extending the company's success with existing customers in the defense, intelligence, federal, state and local markets and helping shape and capture new program opportunities consistent with business objectives. This includes both pursuit strategy development and customer influence activities associated with program formulation, funding and oversight support. Since joining TASC, Mr. Dodd has led growth initiatives foundational to increasing the division's revenues and new business pipeline by nearly 50 percent.

Albert Pisani - Vice President, Intelligence Operations

Al Pisani oversees the TASC organization that delivers specialty engineering, technical analysis, life cycle programmatic support and tactical operations support to the Defense and Intelligence Communities worldwide.

Kerry Rines - Vice President, National Systems

Dr. Kerry D. Rines oversees TASC's organization of highly skilled employees providing systems engineering, strategic planning, studies and analysis, systems integration, operations support, and program protection engineering for sophisticated national systems.

Pamela Drew - Vice President, Enterprise System

Dr. Pam Drew leads a team of more than 1,000 TASC employees who provide systems engineering, technology and architecture assessment, test and evaluation, and advisory services to the federal and civil, global security and selected military markets.

Patrick Talty - Vice President, Mission Engineering

Pat Talty leads a team of more than 1,700 personnel. He is responsible for the execution of an enterprise serving more than 45 organizations across the Intelligence Community, the Department of Defense and multiple defense agencies, including the Missile Defense Agency. Mr. Talty's team supports government organizations across the full weapon systems' acquisition life cycle. Their competencies include systems engineering and integration, policy studies and analysis services impacting national defense strategy, mission engineering and mission assurance, cyber security and acquisition, and financial management services.

Steven Denning - Chairman of General Atlantic

Steven A. Denning is the Chairman of General Atlantic. He joined the firm in 1980 and has built the organization into one of the leading global equity investment firms focused exclusively on investing in growth companies. He is a director of TASC, Inc. (Private), Gavilon Holdings, LLC (Private), IHS, Inc. (NYSE: IHS), Genpact (NYSE: G) and The Thomson Reuters Corporation (NYSE: TRI; TSX: TRI).

Mr. Denning joined General Atlantic after working with McKinsey & Company as a consultant. He received an MBA from Stanford Business School in 1978. Adam H. Clammer joined KKR in 1995 and currently heads the Technology Group. He holds a B.S., summa cum laude, from The Wharton School, and a B.S.E., summa cum laude, from the School of Engineering and Applied Sciences, University of Pennsylvania. He was awarded the A. Atwater Kent Prize for top electrical engineering graduate.
